These Terms of Service (“Terms”) govern your access to and use of innerceiling.com and all associated services including the HOLD Assessment and the Inner Circle Assessment (collectively, the “Platform”). Please read these Terms carefully. By creating an account, taking an assessment, submitting feedback for a leader, or otherwise using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.
1. Who We Are and Who Owns This
The Platform is owned and operated by Jonathan D. Reynolds, an individual doing business as The Inner Ceiling. The HOLD framework, The Inner Ceiling name and brand, all sixty assessment questions, the scoring methodology, the four-pillar building visualization, and all related intellectual property are the exclusive property of Jonathan D. Reynolds. Nothing in your use of the Platform grants you any ownership rights over any content, methodology, or intellectual property described above.
2. Eligibility
You must be at least 18 years old to use the Platform. By using the Platform, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement. The Platform is intended for individuals in leadership roles or who work with leaders in a professional capacity. It is not intended for use by children or in consumer contexts unrelated to leadership development.
3. Accounts
3.1 Creating an account
To access your personal dashboard and assessment history, you must create an account using a valid email address. You are responsible for maintaining the confidentiality of your account and for all activity that occurs under it. You agree to notify us immediately at jonathan@mail.innerceiling.com if you believe your account has been compromised.
3.2 Accuracy of information
You agree to provide accurate information when creating your account and to keep that information current. You may not impersonate any other person or use a false identity. You are responsible for the accuracy of any responses, statements, and information you provide through the Platform.
3.3 Account security
We use magic link authentication, meaning you sign in via a secure link sent to your email address rather than a password. You are responsible for keeping your email account secure, as access to your email constitutes access to your Platform account. We will never ask for your password.
4. The HOLD Assessment: What It Is and What It Is Not
4.1 Purpose
The HOLD Assessment is a self-development tool designed to help leaders gain insight into their own leadership behaviors across four disciplines: Honest with yourself, Open to others, Love people, and Develop others. It is intended for personal reflection, professional growth, and leadership development purposes.
4.2 Not a clinical or psychological instrument
The HOLD Assessment is not a clinical psychological test, a diagnostic instrument, or a validated psychometric tool in the clinical or scientific sense. It has not been reviewed or approved by any medical, psychological, or regulatory authority. It should not be used as a basis for clinical diagnosis, mental health treatment decisions, employment decisions, or any other decision that would ordinarily require a clinically validated instrument. If you are experiencing mental health concerns, please consult a qualified mental health professional.
4.3 Not professional advice
Nothing produced by the Platform, including assessment scores, gap measures, AI-generated drafts, development resources, or any other content, constitutes professional psychological, therapeutic, legal, financial, or HR advice. The Platform is an educational and reflective tool. Any decisions you make based on your results are your own responsibility.
4.4 No guarantee of outcomes
We make no warranties or guarantees regarding the outcomes of using the HOLD Assessment or any other Platform service. Completing the assessment does not guarantee any particular improvement in leadership effectiveness, organizational performance, employee retention, or any other metric. Individual results will vary based on many factors outside the Platform's control.
4.5 Self-reported data
The HOLD self-assessment produces scores based entirely on your own self-reported answers. These scores reflect your own perceptions at the time of completing the assessment. They are not objective measurements of your capabilities or character. The Platform is designed to help you reflect, not to evaluate, judge, or label you.
5. The Trusted Circle Feature
5.1 Sending the assessment to others
When you share your unique code with members of your trusted circle, you are inviting them to voluntarily complete a twenty-question observed assessment about your leadership behaviors. You agree to:
- Only share your code with people who have a genuine professional or mentoring relationship with you.
- Not pressure, coerce, or make participation a condition of employment or any other professional relationship.
- Represent the assessment honestly when inviting people to participate.
- Accept that responses are the subjective perceptions of the respondents and not objective facts about your leadership.
5.2 Completing the assessment for someone else
If you are completing the observed assessment as part of someone else's trusted circle, you agree to:
- Answer honestly based on your genuine experience of the leader's behaviors.
- Understand that your responses, including any name you provide, are visible to the leader whose code you entered.
- Not use the assessment to harass, defame, or maliciously misrepresent anyone.
- Understand that if you choose to provide your name, the leader will be able to associate your name with your response.
5.3 Anonymous responses
If you choose not to provide your name when completing the observed assessment, your response will be stored anonymously. However, relationship category information may still be visible to the leader in aggregate, subject to the minimum group threshold described in our Privacy Policy. Anonymous responses are not completely untraceable within our internal systems for security purposes, but are presented to leaders only in aggregated form.
6. Intellectual Property
6.1 Platform content
All content on the Platform, including but not limited to the HOLD framework, all sixty assessment questions and their precise wording, the scoring methodology, the building visualization, development resources, and all written content, is the exclusive intellectual property of Jonathan D. Reynolds and is protected by applicable copyright, trademark, and other intellectual property laws.
6.2 Limited personal use license
Your use of the Platform grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your own personal leadership development purposes. This license does not include the right to:
- Copy, reproduce, or distribute any of the sixty HOLD Assessment questions in any form, including in other assessments, training materials, or publications.
- Use the HOLD name, framework, or methodology in any commercial service or product without a formal written license agreement with Jonathan D. Reynolds.
- Train, fine-tune, or otherwise use Platform content to develop or improve any artificial intelligence model.
- Reverse-engineer, decompile, or otherwise attempt to extract the scoring methodology or any proprietary algorithm.
- Use the Platform or any content from it to develop a competing product or service.
6.3 Certified practitioner licensing
Organizations and individuals wishing to use the HOLD framework commercially, including coaches, facilitators, HR professionals, and organizations seeking to implement the framework at scale, must obtain a formal certified practitioner license from Jonathan D. Reynolds. Use of the framework without such a license is a violation of these Terms and applicable intellectual property law.
7. Acceptable Use
You agree not to use the Platform in any way that:
- Violates any applicable law or regulation.
- Infringes the intellectual property rights of Jonathan D. Reynolds or any third party.
- Transmits any harmful, abusive, harassing, defamatory, or otherwise objectionable content.
- Attempts to gain unauthorized access to any portion of the Platform or its underlying systems.
- Disrupts or interferes with the security, integrity, or performance of the Platform.
- Uses automated tools, bots, or scrapers to access or collect data from the Platform.
- Creates fake accounts or submits fraudulent assessment responses.
- Uses another person's code without their knowledge and consent.
8. AI-Generated Content
The Platform offers an optional AI-generated draft of your growth edge statement, produced using the Anthropic API. By using this feature, you acknowledge that:
- The draft is generated by an artificial intelligence system and reflects patterns in your own assessment responses, not human judgment about your leadership.
- The draft is a starting point for your own reflection, not a final statement. You are responsible for editing it to accurately represent your own words and intentions before sharing it with your trusted circle.
- Jonathan D. Reynolds and the Platform make no representations about the accuracy, completeness, or suitability of any AI-generated content.
9. Platform Availability
We aim to make the Platform available at all times but do not guarantee uninterrupted access. The Platform may be temporarily unavailable due to maintenance, technical issues, or circumstances outside our control. We are not liable for any loss or inconvenience caused by Platform unavailability. We reserve the right to modify, suspend, or discontinue any feature of the Platform at any time with reasonable notice to registered users.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, JONATHAN D. REYNOLDS, TITUS TALENT STRATEGIES, AND ALL ASSOCIATED INDIVIDUALS, PARTNERS, AND LICENSEES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITY, OR HARM TO REPUTATION, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM. WHERE THE PLATFORM IS PROVIDED FREE OF CHARGE, OUR TOTAL LIABILITY SHALL NOT EXCEED ONE HUNDRED US DOLLARS ($100).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, THE ABOVE LIMITATIONS APPLY TO THE FULLEST EXTENT PERMITTED BY LAW.
11. Indemnification
You agree to indemnify, defend, and hold harmless Jonathan D. Reynolds and all associated parties from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Platform, your violation of these Terms, your violation of any third-party rights, or any content you submit through the Platform.
12. Privacy
Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy carefully. It describes how we collect, use, and protect your personal information, including your assessment data.
13. Research Data
By using the Platform, you consent to the use of your anonymized, de-identified assessment data for aggregate research purposes as described in the Privacy Policy. This research may be used to improve the HOLD framework, inform future publications by Jonathan D. Reynolds, and support the development of the certified practitioner program. No individual user will be identifiable in any research output. You may opt out of research data use at any time by contacting jonathan@mail.innerceiling.com.
14. Termination
We reserve the right to suspend or terminate your account and access to the Platform at any time if we determine, in our sole discretion, that you have violated these Terms. You may also delete your account at any time through your account settings. Upon termination, your right to use the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination will survive, including intellectual property ownership, limitation of liability, indemnification, and dispute resolution.
15. Changes to These Terms
We may update these Terms as the Platform evolves. We will notify registered users of material changes by email and by posting the updated Terms on the Platform with a new effective date. Continued use of the Platform after notification of changes constitutes acceptance of the updated Terms. If you do not agree with updated Terms, you should delete your account before they take effect.
16. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Illinois, United States, without regard to its conflict of law provisions. Any dispute arising out of or related to these Terms or your use of the Platform shall first be subject to good-faith negotiation between the parties. If negotiation fails, disputes shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association in Chicago, Illinois, except that either party may seek injunctive relief in a court of competent jurisdiction to protect its intellectual property rights.
17. Miscellaneous
Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Jonathan D. Reynolds regarding the Platform.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
No Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it in the future.
Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights without restriction.
